1: DENOMINATION
The name of the association is: AMICALE INTERNATIONALE DES SOUS-DIRECTEURS ET CHEFS DE RECEPTION DES GRANDS HOTELS.
2: AIMS
The aims of the Amicale are:

To preserve and foster fraternal sentiments among its members.

To facilitate and strengthen the professional relationships between members, and to promote and publicise the importance of their profession.
To ease contact between:

The regional UK sections
-
All other sections outside UK

The International Bureau
3: REGISTERED OFFICE and ADMINISTRATIVE ADDRESS
The A.I.C.R. UK does not have a Registered Office.
However, the administrative address is at the professional or private address of the President of the A.I.C.R. UK. This address will therefore change whenever a new president is elected and will last for the duration of their term.
4: DURATION
The duration of the Amicale is unlimited.
5: COMPOSITION
The Amicale consists of:

Members actively engaged in hotels, in conformity with Article 6, or who were so engaged at the time of joining, and who have paid their annual dues to the national Section

Honorary members, whose nomination has been accepted and approved by the General Assembly
-
Benefactor Members (See attached Rules & Regulations for Benefactor Members)

Sponsors (no voting rights)
-
Honorary members are exempt from payment of dues.
6: MEMBERSHIP REQUIREMENT
To be admitted as a member of the Amicale the applicant must at the time of application:
-
Be actively working in a Front of House Management position not exceeding the position of Hotel Manager.

Be working in a hotel or for a lodging provider that is classified as 4 or 5 Star by a certified grading body.
or
-
Be working in a Non Classified lodging provider that would be considered a Deluxe or First Class property (an exception request needs to be submitted in writing by the UK National Committee to the International Committee for review and has to be accepted by majority vote.)
Associate Membership
A candidate not fulfilling the above criteria can submit his application to become an Associate Member. This membership can be granted at the discretion of the International Committee if it believes that the applicant will contribute valuably to the association despite not holding a qualifying position.
Members who are granted an associate membership may not be eligible to submit candidates to the UK National or International Receptionist of the Year competition if their place of employment does not meet the required lodging standards.
An exception request needs to be submitted in writing by the UK National Committee to the International Committee for review and has to be accepted by majority vote.
Junior Membership
A Junior membership may be granted to Individuals meeting the following requirements:

Be actively working in a Front of House position not exceeding the position of Supervisor.

Be working in a hotel or for a lodging provider that is classified as 4 or 5 Star by a certified grading body.
Candidates participating in the UK National Receptionist of the Year competition will automatically be granted a minimum one-year Junior membership. Junior members:

Are not counted as full members and are not required to pay membership fees
-
Do not have voting rights
-
May not submit competition candidates
-
Junior Membership should be offered on a one-year basis and reviewed annually based on the Junior Member’s participation and contribution levels to the section.
7: MEMBERS´ OBLIGATIONS
Active members undertake to:

Attend Regular and Special General Assemblies (in person or by proxy)
-
Attend working sessions
-
Facilitate and promote the Amicale’s aims and development
8: RESIGNATION OR TERMINATION (CANCELLATION) OF MEMBERSHIP
To cease being members of the Amicale, without ending the existence of the Amicale itself, a member must send a written resignation to the President of AICR UK for the resignation to be accepted.

The Amicale reserves the right to remove from membership any member for any infringement of the Statutes of the Amicale, or for other serious reason. The UK National Committee will give the member fifteen days notices, in writing, to explain their conduct, either orally or in writing.

Those members who have not paid the annual dues six months after the required date for payment.
Right of Appeal: The expelled member may, within fifteen days of such notification, appeal, in writing to the A.I.C.R. UK President for reversal of the decision. The A.I.C.R. UK President convenes a meeting of the A.I.C.R. UK Committee to consider such an appeal, the expelled member having been invited to attend the meeting, in writing to the president eight days in advance thereof.

Any newly accepted member who does not pay their joining membership fee within 30 days of acceptance will have their acceptance cancelled.
Right of Appeal: The terminated member may within fifteen days of such notification, appeal, by e-mail or letter to the A.I.C.R. UK President for reversal of the decision. The A.I.C.R. UK President notifies the A.I.C.R. UK Committee to consider such an appeal.

9: PERSONAL LIABILITY
No member of the Amicale is personally liable for its commitments; only the Amicale is responsible, limited to its assets.
10: ASSETS
The assets of the A.I.C.R. UK consist of:

Annual membership fees less dues paid to the International A.I.C.R.

Gifts / Donations & Sponsorships
-
Subsidies which it may receive
-
Interest on and income from assets and securities which may hereafter be acquired by the A.I.C.R. UK.
The reserve fund consists of:

Savings realised on the annual budget

The buildings needed for the Amicale’s operations. The said savings shall be invested by the treasurer, in government bonds or

Government guaranteed securities, registered in the name of the A.I.C.R. UK.
11: ACCOUNTING PROCEDURES:
Current accounts of income and expenditure are kept by the A.I.C.R. UK Treasurer, who presents them to the General Assembly for approval each year. With the exception of the dispensations set out in Article 5, no exoneration will be accorded without the prior agreement of the A.I.C.R. UK President.
12: A.I.C.R. UK COMMITTEE
The A.I.C.R. UK Committee consists of 5 to 9 members: elected for a two-year term, over the period between two regular General Assemblies. The President and Vice President(s) must, at the time of their election, be actively working in a Front of House Management position not exceeding the position of Hotel Manager and be a current member of the Amicale.
The President is elected during a General Assembly, by a majority of the members present or by proxy, either by secret vote or by a show of hands.
The President must then choose the members of the committee and allocate their functions.
The President may present the committee to those members taking part in the General Assembly, for the choice of persons and their functions.
In the event of the death or resignation of one or more members, the President, after consultation with the committee, chooses replacements for the duration of the President's mandate.
13: FUNCTIONS
The A.I.C.R. UK President pursues the objectives of the Amicale and its expansion. The President is seconded by one or more Vice Presidents, as well as by other members of the committee, and in particular by:
The National Secretary, in charge of everything concerning minutes of meetings, reports, correspondence, archives, administrative questions and relations with the A.I.C.R. UK Section.
The National Treasurer is in charge of current accounts and management of the assets of the A.I.C.R. UK. The National Treasurer may not, however, dispose of assets constituting the reserve fund, without the authorisation of the A.I.C.R. UK Committee;

The National Treasurer receives the membership fees and partnership/sponsorship fees by 30th June of each year.

The National Treasurer keeps proper records of the financial transactions, and reports to the A.I.C.R. UK President, members of the A.I.C.R. UK Committee, and finally to the General Assembly, which after verification and certification by the official auditor approves the A.I.C.R. UK Treasurer’s financial management.
The National Secretary assists the President and other members of the A.I.C.R. UK Committee, as required. All decisions by the A.I.C.R. UK Committee are taken by a majority of votes.
14: POWERS OF THE PRESIDENT
The A.I.C.R. UK President convenes and chairs all membership and committee meetings. He represents the Amicale at all times and has full authority for this purpose. In particular, the A.I.C.R. UK President is empowered to represent the Amicale in court and court pleadings, both as plaintiff and as defendant, to take all appeals, and to apply for all writs of review and agree to any compromise. In the case of appeal, the A.I.C.R. UK President may act with the approval of a majority decision of the committee. In the event of absence or illness, the A.I.C.R. UK President is replaced by a Vice President, and in the event of the latter's absence or illness, by the National Secretary. In the event of division, the vote of the A.I.C.R. UK President is deciding.
15: EXPENSES INDEMNITY
When the A.I.C.R. UK President convenes a UK Committee meeting, a recruitment event, or is invited to represent the Amicale within or outside UK, the A.I.C.R. UK may reimburse the travel expenses of the A.I.C.R. UK Committee on the basis of the minimum return fare between two cities (the place of domicile of the participant and the city where the meeting takes place). Where appropriate, the A.I.C.R. UK President, in agreement with the A.I.C.R. UK Committee may accept the reimbursement of any other expenses.
16: REGULAR GENERAL ASSEMBLY - QUORUM & MAJORITY
The regular General Assembly of all Members is convened every year and chaired by the A.I.C.R. UK President. The President sets out the achievements of his/her mandate, as well as projects for the future. A notification, including the Agenda, is sent out to Members by the National Secretary, at least 15 days before the date fixed. Before the meeting, the roll-call of all members present is taken, and the names of those who have provided a written proxy are added.
The Quorum is one-quarter of all fully paid-up members present or represented. Decisions are taken by simple majority. The regular General Assembly hears the report of the committee on its management and on the financial situation of the A.I.C.R. UK. It approves or rectifies the current account and votes the budget for the coming period. It proceeds with the election of the National President, and signifies approval of, or reservations concerning, members of the A.I.C.R. UK Committee.
17: SPECIAL GENERAL ASSEMBLY
In case of necessity or at the request of the majority of the A.I.C.R. UK Committee, the A.I.C.R. UK President may, in accordance with Article 16, convene a Special General Assembly.
For valid discussion, one-quarter of fully paid-up Members must be present or represented at the Special General Assembly. Any modifications to the Statutes must be voted by two-thirds of the Members present or represented. Other decisions are taken by simple majority.
18: POWERS OF THE GENERAL ASSEMBLY
The Assembly has supreme authority over all questions relating to the smooth functioning of the A.I.C.R. UK. It gives such instructions as may be necessary to the A.I.C.R. UK President, the National Secretary and the National Treasurer, to affect any operation coming within the objectives of the Amicale and not contrary to the Law, for which the dispositions of the statutes may be insufficient.
19: POWERS OF THE A.I.C.R. UK COMMITTEE
The A.I.C.R. UK Committee may authorise any action not reserved to the General Assembly. The UK A.I.C.R. Committee may, following a majority vote, overrule the A.I.C.R. UK President, the National Secretary or any other member from taking an action with which it disagrees, and which falls within its prerogative.
20: TERM OF OFFICE
The normal term of office is two years. It begins with closure of the general assembly with election and finishes two years after with the closure of that following general assembly.
21: UK AICR WEBSITE /SOCIAL MEDIA NETWORK GROUPS
Social Media
The A.I.C.R. UK appoints a member of the Committee as National Communications Administrator.
They are in charge of the set-up of various networking groups and official pages in several social media under the AICR UK banner.
In collaboration with all other members of the A.I.C.R. UK Committee, their responsibility is to consistently monitor these groups and sites be it discussions, comments, pictures, links etc..., to ensure that they cannot be used as a political, religion or discrimination platform by anyone. The administrator is solely responsible to ensure good governance.
They are in charge of publishing all sorts of official communication in a timely manner that has previously been filtered, discussed and approved at least by the A.I.C.R. UK President and/or the A.I.C.R. UK Committee.
The AICR International Committee will have the right to monitor and ensure that all sites bearing the AICR logo or logos used by AICR, name or names used by AICR or in any form connected with the AICR are used in accordance with the law and the AICR values. The AICR International Committee can and will inform the administrator(s) to shut down the group site if it deems damaging to the AICR. The AICR International Committee is either directly or indirectly responsible when the AICR name or its logo or any form connected is used.
The Presidents of each section can use the AICR logo or name on any social media site. Any others (members/non-members/commercial etc) should seek permission from the AICR International Committee first before uploading it.
22: DISSOLUTION OF THE AMICALE
In the event of voluntary or involuntary dissolution of the A.I.C.R. UK, a special General Assembly is convened, at which the official Auditor is present.
It decides on the disposal of the assets of the A.I.C.R. UK but may not return to Members other than their contributions.
It designates a recognised charitable organisation, which shall receive the surplus assets, after payment of all the A.I.C.R. UK's debts and expenses, and all the costs of liquidation. It appoints one or more members of the A.I.C.R. UK, who shall be given all necessary powers to handle the liquidation.
23: FORMALITIES
The A.I.C.R. UK President is responsible for all reporting and recording of formalities required by law.
24: LITIGATION
The court having jurisdiction over all actions concerning the A.I.C.R. UK is the local court of its Administrative Address, i.e. the domiciliation address of the A.I.C.R. UK President in office.
